§Terms of service

The rules of the pass.

Trust is a thing you build, not a checkbox you ship. These terms are written the way we would say them out loud. They are still terms. Read them before you use the product.

Acceptance

Using ConchPass, in any role, means you accept these terms. If you do not accept them, do not use the product. We may update these terms from time to time. Material changes are emailed 14 days before they take effect.

The Pass

The Conch Pass is free for cruise passengers. Always. There is no paid tier, no premium pass, no upsell waiting in the wings. The pass lives in your browser. There is no app store download required, and we do not plan to add one.

You are responsible for the email and intake information you provide. If you misrepresent your party size, your destination, or your home country, we may revoke the pass and decline future issuance.

The wall

When you upload a photo to the wall, you grant ConchPass a non-exclusive, worldwide, royalty-free license to display, blur, redact, and distribute that photo on the public wall and in related promotional materials. You retain ownership of the underlying photograph.

Posts publish 48 hours after upload. Faces are blurred by default. Identity is reduced to first name and state or country. You may opt in to reveal your own face, but you cannot opt others in.

We may take down any post for any reason. Reasons we will take a post down without warning include: harassment, the appearance of a minor without proper release, defamation, content unrelated to a real vendor visit, and content that violates Bahamian law.

Faces our model reads as under 25 are unconditionally blurred. The uploader cannot override this for someone else. If you upload a photo of a person under 18, you warrant that you have written consent from a parent or legal guardian.

Vendor terms

Vendors listed on ConchPass agree to the following:

  • ConchPass charges 5 percent commission on qualified receipts. A receipt qualifies as billable when a QR scan event exists, a photo has been uploaded, GPS at scan was within 200 meters of the registered vendor location, and the amount is at least 5 US dollars.
  • Commission is billed monthly via Stripe invoice, payable within 14 days of issue. Receipt amounts are extracted via OCR and confirmed by the passenger before any invoice is issued.
  • The vendor warrants that goods and services sold are compliant with Bahamian commerce law, including any applicable licenses, VAT obligations, and import documentation.
  • The vendor is solely responsible for their own taxes. ConchPass does not collect or remit tax on the vendor's behalf, and the commission invoice is a service fee, not a sale of goods.
  • The vendor agrees to honor the prices displayed on their listing and to provide goods consistent with the listing description.
  • ConchPass may suspend or remove a vendor listing for repeated passenger complaints, non-payment of commission invoices, or violation of these terms.

Sourcing rep terms

Sourcing reps who recruit vendors to ConchPass agree to the following:

  • The rep earns 1 percent on qualified receipts for any vendor they recruited, indefinitely, for as long as the vendor remains active on the platform.
  • Earnings are calculated monthly, in arrears, against the same qualified-receipt definition used for vendor billing.
  • Payout method is elected by the rep at onboarding. Options include bank transfer, Stripe Connect, and direct deposit.
  • ConchPass deducts no tax from rep earnings. The rep is solely responsible for declaring and paying any tax owed on this income in their jurisdiction.
  • A rep who introduces fraudulent vendors, falsifies receipts, or otherwise gamed the system forfeits all accrued earnings and future participation.

Disputes

If a passenger believes a charge is wrong, the goods were not delivered, or the vendor behaved improperly, the passenger may raise a dispute through /disputes within 30 days of the receipt date.

ConchPass mediates disputes. We are not a payment processor. The passenger paid the vendor directly. Our role is to investigate the QR scan record, the receipt photo, the GPS proximity check, and any communication between parties, and to recommend a resolution.

If a dispute results in a confirmed misrepresentation by the vendor, the commission for that receipt is waived and the vendor may be removed from the platform.

Liability disclaimer

ConchPass is a directory and proof platform. We list vetted Bahamian vendors and we provide tooling that records and verifies shore visits. We are not a guarantor of the goods or services any vendor provides.

Your transaction is with the vendor, not with us. ConchPass is not liable for product quality, vendor conduct, refund timing, or any loss arising from your purchase, except where prohibited by Bahamian consumer law.

To the maximum extent permitted by law, ConchPass and its affiliates disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Termination

We may terminate or suspend any account, vendor listing, or rep relationship for fraud, abuse, or repeated violation of these terms. We will give notice where practical. Termination does not erase outstanding commission invoices, which remain payable.

You may terminate your own account at any time by writing to legal@conchpass.com. Your wall posts remain published unless you request takedown, since other passengers and vendors may have relied on them.

Governing law

These terms are governed by the laws of the Commonwealth of The Bahamas. Any dispute arising from or relating to these terms or your use of ConchPass shall be adjudicated in the courts of Nassau, Bahamas.
